INDEPENDENT CONTRACTOR AGREEMENT
Earn While Learn – Freight Broker 911 Program
This Independent Contractor Agreement (“Agreement”) is made and entered into as of [Date], by and between Freight Broker 911, LLC, a gateway employment and training company (“Company”), and [Contractor Name], an independent contractor (“Contractor”).
1. PURPOSE
Freight Broker 911 operates the Earn While Learn Program, a gateway employment and training opportunity designed to help individuals gain the required freight brokerage experience, develop professional skills, and build their book of business. This Agreement governs Contractor’s participation in the program and outlines the terms of the temporary independent contractor relationship.
2. TERM
This Agreement shall commence on [The Date the Agreement Submitted Online] This opportunity is temporary and does not guarantee continued engagement or permanent employment with Freight Broker 911 or any affiliated entity.
3. INDEPENDENT CONTRACTOR STATUS
- Contractor is engaged as an independent contractor, not as an employee, agent, partner, or representative of Freight Broker 911.
- Contractor shall be solely responsible for payment of all federal, state, and local taxes arising from compensation received under this Agreement.
- Contractor shall not be eligible for employee benefits such as health insurance, paid time off, or retirement contributions.
- Nothing in this Agreement shall be construed as creating an employer-employee relationship.
4. SERVICES
Contractor agrees to perform the following services (“Services”):
- Participate in the Earn While Learn Freight Broker 911 training program;
- Develop, prospect, and manage freight brokerage business accounts;
- Coordinate with shippers and carriers to arrange and manage freight transportation;
- Maintain accurate documentation and compliance with industry standards; and
- Represent Freight Broker 911 in a professional and ethical manner.
Contractor shall perform these Services using independent judgment, skill, and professional standards customary in the freight brokerage industry.
5. TOOLS, RESOURCES, AND SUPPORT PROVIDED
Freight Broker 911 agrees to provide Contractor with the following transferable tools and resources to support success:
- A Professional Freight Broker Website, personalized for the Contractor’s business use;
- Access to a Transportation Management System (TMS) with carrier database integration;
- A Dedicated Business Phone System that may be transferred with the Contractor upon completion of the program;
- Training, mentorship, and educational materials related to freight brokerage operations and business development.
Contractor acknowledges that these tools are provided solely for the duration of this engagement and must be used in accordance with Freight Broker 911’s policies.
Upon successful completion of the program and in good standing, the Contractor’s dedicated business phone system and associated professional assets may be transferred for continued independent use at the discretion of Freight Broker 911.
6. COMPENSATION
- Contractor shall be compensated based on commissions or fees earned from completed freight brokerage transactions that the Contractor generates.
- The specific commission structure, payment schedule, and applicable deductions shall be detailed in Exhibit A attached hereto.
- No base salary, hourly wage, or guaranteed payment is offered. All compensation is performance-based.
7. CONFIDENTIALITY
Contractor agrees to maintain strict confidentiality of all proprietary and business information, including but not limited to customer data, pricing, carrier contacts, and trade secrets. Contractor shall not disclose or use such information for personal benefit outside of this Agreement. This obligation shall survive termination.
8. INTELLECTUAL PROPERTY AND TRANSFER RIGHTS
All systems, branding, and intellectual property provided by Freight Broker 911 remain the property of the Company during the term of this Agreement. Upon successful completion of the program and subject to any outstanding obligations, Freight Broker 911 may authorize the transfer of certain resources (e.g., website domain, phone number, TMS access) for the Contractor’s continued independent operation.
9. TERMINATION
Either party may terminate this Agreement at any time, with or without cause, by providing [7–14 days]’ written notice.
Upon termination:
- Contractor shall immediately cease representing Freight Broker 911;
- All Company-owned property and materials must be returned; and
- Contractor shall receive any earned but unpaid commissions through the termination date.
10. LIABILITY AND INDEMNIFICATION
Contractor shall be solely responsible for their actions and business activities and agrees to indemnify, defend, and hold Freight Broker 911 harmless from any claims, losses, or liabilities arising from Contractor’s performance under this Agreement.
11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict-of-law principles.
12. ENTIRE AGREEMENT
This Agreement, including Exhibit A and any attachments, represents the entire understanding between the parties and supersedes all prior communications or agreements, whether written or oral.
